Western Digital Enterprise Summit 2025 Terms and Conditions

These Western Digital Enterprise Summit 2025 Terms and Conditions (the “Terms”) apply to your registration and attendance at Western Digital’s 2025 Enterprise Summit (the “Event”). In order to register and attend you must acknowledge and accept the Terms & Conditions contained herein. Should you not wish to accept the Terms & Conditions you should not register.

By submitting a registration and/or attending the event, you, on behalf of yourself and your company, hereby agree to have read and accepted the Terms.

To be eligible to register for and attend the Event you (“Attendee”) must (i) be an individual or representative of a company invited by Western Digital, (ii)have agreed to the Terms, (iii) be at least age 18 or the age of majority in your jurisdiction, and (iv) be permitted by law and company policy to attend.

Privacy

Western Digital will be collecting personal data about Attendees as part of this Event. Please review Western Digital’s privacy statement available at https://www.westerndigital.com/legal/privacy-statement. By participating in this Event, you agree (i) Western Digital may collect and use your personal information, (ii) acknowledge that you have read and accepted Western Digital’s privacy statement and (iii) to allow Western Digital to periodically send notifications of special offers and promotions via e-mail.  If at any time you decide that you do not wish to be contacted further about special promotions via e-mail, follow the instructions in the e-mail to unsubscribe.

Travel Arrangements

Western Digital may offer to arrange travel or accommodations to vary degrees for some or all Attendees.  If Western Digital does so, all travel arrangements must be made through Western Digital or its designee. Certain restrictions may apply. Attendees offered travel arrangements must travel as and when designated by Western Digital in its sole and absolute discretion or the offer may be forfeited. The dates of departure and return are subject to change at Western Digital’s sole and absolute discretion.

Attendees are solely responsible for possessing all required travel documents and obtaining a valid passport and any necessary travel visa(s).  It is the responsibility of the Attendee to provide proper documentation (including government issued picture identification). Western Digital reserves the right to structure travel routes and select hotels in their sole and absolute discretion. Western Digital shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by any persons providing any Event related services or accommodations. Western Digital is not liable for any missed tours, events, opportunities or expenses incurred as a consequence of travel cancellation/delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other element except at the sole and absolute discretion of Western Digital. Travel is subject to the terms and conditions set forth herein, and those set forth by service suppliers. All expenses not specifically mentioned herein or in writing by Western Digital are solely the Attendee’s responsibility.  Transportation carrier and hotel regulations and conditions apply. Attendee will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with attending the Event.

Disclaimer of Warranty

The Event and any related services, information, or materials are provided “as is” without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

Limitation of Liability

You release Western Digital, and its subsidiaries, affiliates, partners, employees, directors, officers, agents, and others associated with the implementation and/or operation of the Event, from and against any and all injury, loss, damage, or cost (including taxes) caused, arising out of, related to, or claimed to be caused by your attending the Event and/or the acceptance, awarding, receipt, use and/or misuse of any offered travel.

Notwithstanding the above, you further agree that ANY CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH REGISTERING AND ATTENDING THE EVENT, BUT IN NO EVENT ATTORNEY’S FEES; AND UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED AND ANY OTHER DAMAGES, OTHER THAN DAMAGES FOR ACTUAL OUT-OF-POCKET EXPENSES

Conduct

Any Attendee who attempts to interfere with the proper operation of the Event, harasses or endangers Western Digital personnel, other Attendees, or Event supplier personnel will be uninvited and no longer be permitted to participate or remain at the Event. Western Digital reserves the right, in its sole discretion, to uninvite any Attendee that Western Digital believes to have interfered with the Event, or who is found to be acting in violation of the Terms and/or any applicable law.

Confidentiality

In the absence, or upon the expiration, of a separate valid agreement covering the disclosure of Western Digital confidential information, the confidentiality terms of this section shall govern such disclosure to you at or in relation to the Event. Pursuant to the Terms, Western Digital (“Discloser”) may disclose to you (“Recipient”) or you may access via materials shown or provided at the Event confidential information which Western Digital does not wish to become public (“Confidential Information”). You agree that the following conditions will apply for any such Confidential Information.

Confidential Information may include: announced and unannounced storage product plans, roadmaps, whitepapers, quick reference guides, videos, data sheets, sales summaries, specifications, data, functions, and code; manufacturing and process plans, descriptions, results, flow charts, controls, and yields; test and quality specifications, plans, systems, data, and strategies; failure analysis process, results, and data; component lists, descriptions, and supplier-related information; and pricing.

Confidential Information may be disclosed by: (a) presentation; (b) delivery; (c) authorized access, such as to a database or website; or (d) any other express means that (i) is marked or identified by Western Digital as confidential or (ii) given the circumstances and nature of the disclosure, would reasonably be considered confidential. Products and associated information that are delivered prior to Western Digital’s limited production availability date for such products are considered Confidential Information whether or not such products are marked confidential. For five (5) years after the date of disclosure, the Recipient will use the same care as the Recipient uses with its own confidential information, but no less than a reasonable degree of care, to avoid disclosure of the Discloser’s Confidential Information. The Confidential Information shall be used for the purpose of marketing, training, or selling Western Digital products (“Purpose”).

The Recipient may disclose Discloser’s Confidential Information to its employees and contractors who have a need to know and who agree to abide by non-disclosure terms at least as comprehensive as those set forth herein. Notwithstanding the foregoing, no obligation will apply to Confidential Information that is: (a) already rightfully in the Recipient’s possession or rightfully received by the Recipient without a non-disclosure obligation; (b) developed independently by the Recipient; (c) publicly available when received, or thereafter becomes publicly available through no fault of the Recipient; or (d) disclosed by Discloser to a third party without a non-disclosure obligation. The Recipient may disclose Confidential Information to the extent required by law but must give the Discloser reasonable prior notice to allow the Discloser a reasonable opportunity to obtain a protective order or other relief.

In their respective handling of the Confidential Information that is the subject of the Terms, the parties agree to comply with all applicable export control laws, including without limitation those of the United States, Europe, and Japan. In addition, Confidential Information shall not be used for any purpose prohibited by export laws, including but not limited to nuclear, chemical, or biological weapons proliferation.

Company may not assign or otherwise transfer its rights or delegate its duties or obligations under the Terms without the prior written consent of Western Digital. Any unpermitted assignment will be void. Any provisions of the Terms which by their nature extend beyond its termination, including the provisions regarding disclosure and export control, remain in effect until fulfilled and apply to the parties’ respective successors and authorized assigns. Within thirty (30) days of a written request by Western Digital, Recipient shall (a) destroy or return to Discloser all materials (including electronic and hard copy documents) received from Discloser that contain Confidential Information, all materials it may have created that reveal or are based on any of Discloser’s Confidential Information, and all copies of the foregoing and (b) deliver to Western Digital a statement that Recipient has complied with such request. Notwithstanding any other provision in the Terms, if Company provides any ideas, suggestions or recommendations to Western Digital regarding Western Digital’s current or future products (“Feedback”), Western Digital is free to use and incorporate such Feedback in revisions to Western Digital products, without payment of royalties or other consideration to Company, so long as Western Digital does not infringe such Company’s patents, copyrights or trademark rights in the use of such Feedback.

 General

All issues and questions concerning the construction, validity, interpretation and enforceability of the Terms, your rights and obligations, or the rights and obligations of Western Digital that arise out of or in connection with the Event, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to any choice of law or conflict of law rules. Except where prohibited entrants agree that any and all disputes, claims, and causes of action arising out of the Event shall be the exclusive jurisdiction of state and federal courts located in Santa Clara County, California, U.S.A.

If one or more of the conditions outlined in the Terms should become invalid, the remaining conditions will continue to be valid and apply.
